Omnaly Terms of Service

These Terms of Service ("Terms") are an agreement between you and Software Solutions Services ("we", "us", "the operator") governing your use of Omnaly ("the Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Age Requirement (18+)

Omnaly is for adults only. You must be at least 18 years old to create an account or use the Service. There are no exceptions — we do not offer accounts to anyone under 18, with or without parental consent. By using the Service you confirm that you are 18 or older. If we learn that a user is under 18, we will terminate the account.

2. What Omnaly Is (and Is Not)

Omnaly is an AI service. It currently provides AI chat with a choice of models, image generation, live web search, document analysis, and voice input. The features available may change over time as we add or remove them.

Please understand three things clearly:

• You are talking to software, not a human. Responses are generated by artificial intelligence.
• Omnaly does not run its own AI model. We route your requests to third-party AI providers and return their output to you. Omnaly is branded as "powered by leading AI models" — those models belong to and are operated by third parties, not by us.
• The third-party providers we use may change from time to time. Our Privacy Policy lists the current providers.

3. Accuracy Disclaimer

Artificial intelligence is an evolving technology and its outputs are probabilistic, not guaranteed.

Outputs may be false, incomplete, misleading, or outdated. You should not rely on any factual assertion in an output without independently verifying it. This applies to everything the Service produces, including text, generated images, summaries of web pages and the search results they are drawn from, summaries of your documents, and transcriptions of your voice.

We do not warrant that outputs are accurate, current, complete, or fit for any particular purpose.

4. No Professional Advice

Outputs from the Service are not legal, medical, financial, tax, or other licensed-professional advice, and no professional-client relationship is created by your use of the Service. If you need advice in one of these areas, consult a qualified, licensed professional. Do not make legal, medical, or financial decisions based solely on the Service's outputs.

5. Acceptable Use

The AI providers we route requests to have their own usage policies, and those restrictions flow down to you. When you use Omnaly, you must not:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Generate content and present it as human-created where that would mislead someone (for example, passing off AI output as your own original human work in contexts where that matters, or using it to impersonate a real person);
• Attempt to extract, scrape, resell, or provide third parties with access to the underlying AI APIs through the Service;
• Circumvent, or attempt to circumvent, rate limits, credit limits, or other technical restrictions (including by creating multiple accounts);
• Create, request, or distribute child sexual abuse material (CSAM) or any content sexualising minors — this results in immediate termination and, where required, a report to authorities;
• Use the Service to design, develop, or facilitate weapons (including biological, chemical, nuclear, or conventional weapons);
• Generate malicious code, malware, or other content intended to cause harm to people, systems, or data;
• Harass, threaten, abuse, defame, or incite violence or hatred against any person or group;
• Interfere with or disrupt the Service, its infrastructure, or other users' use of it.

We may suspend or terminate accounts that violate this section (see Section 11).

6. Bring Your Own Key (BYOK)

You may add your own API keys for supported providers (currently OpenAI, Anthropic, Google, and OpenRouter). If you do:

• Your keys are your responsibility. You are responsible for keeping them valid, for all usage and charges billed to them by the provider, and for revoking them if you stop using the Service.
• Provider terms apply. Your use of a provider's API through Omnaly is subject to that provider's own terms of service and usage policies, which you agree to comply with.
• You are not charged Omnaly credits. Requests served with your own key do not draw down your Omnaly credit allowance — you pay your provider, not us, for that usage.
• Bringing a key is separate from your plan. The Omnaly Everyday, Omnaly Core, Omnaly Fast and Omnaly Max models run on our keys and always draw down credits, even where a provider you also hold a key with is what powers them. Only the endpoints where you have supplied your own key are exempt — in the model picker those are the ones labelled “your key”.
• How we use your keys. We pass your key through to the respective provider only to serve your own requests. We do not use your keys for other users, for our own purposes, or for anything other than fulfilling the requests you make.

7. Free Tier

The free tier runs on our own API keys, subject to per-user credit limits. For the free tier:

• Credits, limits, features, and available models may change at any time without notice;
• There is no service level agreement (SLA) — the Service may be slow, interrupted, or unavailable at times;
• We may throttle, queue, or decline requests to manage capacity and cost.

We provide the free tier "as is" and may modify or discontinue it at our discretion.

8. Subscriptions and Billing

• Free trial. Your first subscription starts with a 30-day free trial. Your card is verified when you subscribe but no money is taken during the trial. Unless you cancel first, the trial converts automatically into a paid monthly subscription at the plan price shown at checkout, and your card is charged on the day the trial ends. You may cancel at any time during the trial and you will not be charged. The trial is limited to one per customer — if you have used it before, subscribing again charges the plan price immediately.
• Who bills you. Payments are handled by PayFast, a South African payment gateway. Your card and payment details are collected and processed by PayFast, not by us. Their terms apply to the payment transaction.
• Currency. All prices are charged in South African Rand (ZAR). If you are outside South Africa, any other currency shown to you is an approximate guide only — your card is charged in ZAR, and your bank or card issuer converts at its own rate and may add a foreign-transaction fee.
• What you get. A paid subscription unlocks higher usage limits and premium features, as described at the time you subscribe.
• Renewal and cancellation. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep paid access until then.
• No refunds. Payments are not refundable. We do not refund unused time, partial periods, or credits you did not spend, and we do not offer discretionary or goodwill refunds. Cancel before your next billing date if you do not want to be charged again. This does not affect any refund you are entitled to by law — see Your statutory rights below.
• What happens to unused credits. Your monthly credit allowance is for that month. Each renewal replaces your subscription allowance rather than adding to it, so unused subscription credits do not roll over. If a payment could not be collected, your account keeps its plan for a 7-day grace period while payment is retried, then returns to the free plan and any remaining subscription credits fall away. If you cancel, there is no grace period beyond the period you already paid for — you keep your plan until the end of that period, and any remaining subscription credits fall away as soon as it ends. Either way, credits you bought separately from a subscription (see Pay-as-you-go credits below) are never affected — they survive a cancellation, a lapsed payment, or a downgrade to the free plan.
• Pay-as-you-go credits. You may also buy credits directly, without a subscription. This is a single, one-time payment — it creates no recurring charge, and nothing about it renews. Credits from a top-up are added to your account within seconds of payment, do not expire, and remain usable on whichever models your current plan (free or paid) already gives you access to — buying credits does not itself unlock a higher plan's models. Like a subscription payment, a top-up is not refundable, and because credits are made available to you immediately on payment, you expressly waive your ECTA cooling-off right for that purchase by completing it.
• Your statutory rights. Nothing in these Terms limits your rights under the South African Consumer Protection Act 68 of 2008 (CPA) or the Electronic Communications and Transactions Act 25 of 2002 (ECTA), including any applicable ECTA cooling-off right for electronic transactions, where those rights apply to you and to this type of service.
• Price changes. We may change subscription prices with advance notice; changes take effect from your next billing period.

9. Intellectual Property

• Your inputs: You own the prompts, messages, and files you submit. You grant us a limited licence to process them solely to operate the Service (for example, sending them to AI providers to generate your response).
• Outputs: To the extent permitted by the third-party AI providers whose models generated them, and as between you and us, you own the outputs generated for you. Note that provider terms, not ours, ultimately govern what rights you receive in outputs, and identical or similar outputs may be generated for other users.
• Our property: We retain all rights in the Omnaly application, brand, design, and code. These Terms do not grant you any rights in the Service itself beyond the right to use it.
• Your responsibility: You are responsible for ensuring you have the rights to any content you upload, and for how you use outputs (including checking that your use does not infringe third-party rights).

10. Limitation of Liability and Indemnity

Disclaimer. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

Limitation. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service — including damages arising from reliance on AI outputs. To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim arose, or (b) ZAR 1,000.

What we don't exclude. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under South African law, including under the CPA where it applies.

Indemnity. You agree to indemnify and hold us harmless from claims, damages, and reasonable costs (including legal fees) arising from your breach of these Terms, your violation of law, your infringement of third-party rights, or your misuse of the Service.

Governing law. These Terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them.

11. Termination

• By you: You may stop using the Service and delete your account at any time (account deletion is available in the app).
• By us: We may suspend or terminate your account, with or without notice, if you breach these Terms — in particular the Acceptable Use rules in Section 5 — or if your use creates risk or possible legal exposure for us. For serious abuse (such as CSAM or attempts to attack the Service), termination is immediate.
• Effect: On termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 3, 4, 9, and 10) survive termination.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will give you notice — for example by email or an in-app notice — before the changes take effect. Continuing to use the Service after the effective date of updated Terms means you accept them. If you do not accept the changes, stop using the Service and delete your account. The current version will always be available at https://omnaly.app/terms.
